Collective Metals Announces Closing of Private Placement for Gross Proceeds of CDN $1,438,665.72

Collective Metals Inc. (CSE: COMT) (OTC: CLLMF) (FSE: TO1) is pleased to announce that is has closed its non-brokered private placement previously announced on January 8, 2026 and January 9, 2026 and has issued 16,925,479 units, at a price of $0.085 per Unit, for aggregate gross proceeds of $1,438,665.72. Each Unit is comprised of one common share of the Company and one transferable common share purchase warrant, with each Warrant entitling the holder to acquire one additional Share at an exercise price of $0.105 for a period of 24 months from the closing date. The Warrants contain an accelerated expiry clause whereby pursuant to the Acceleration Clause, if the Shares of the Company close at or above $0.20 for ten (10) consecutive trading days on the Canadian Securities Exchange, then the Company may accelerate the expiry date of the Warrants by issuing a news release announcing the accelerated Warrant term, pursuant to which the Warrants will expire on the 30th calendar days after the date of such news release.

Finder’s fees of 57,020.75 and 670,833 finder’s warrants were paid to arm’s length parties in connection with the Offering (each Finder’s Warrant exercisable on the same terms as the Warrants forming part of the Units).

The Company will use the proceeds from the Offering for general working capital purposes. All securities issued in connection with the Offering are subject to a statutory hold period of four months and one day.

The securities issued pursuant to the Offering have not been, nor will they be, registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements. This news release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the securities in the United States or in any other jurisdiction in which such offer, solicitation or sale would be unlawful.
